AGREEMENT BETWEEN USER AND ASI MEDICAL, INC.

ASI Medical, Inc. in Englewood, Colorado (hereinafter referred to as “ASI”) owns various Web Sites comprised of Web pages (hereinafter referred to as “Web Site”) operated under the names that include ASI Dental Specialties and ASI Support.

The ASI Web Site is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the ASI Web Site constitutes your agreement to all such terms, conditions, and notices.

PLEASE READ THESE TERMS CAREFULLY BEFORE USING ANY ASI WEB SITE OR SERVICES.

ASI’S PRIVACY POLICY EXPLAINS HOW WE COLLECT AND USE PERSONAL INFORMATION AND IS INCORPORATED INTO THESE TERMS BY REFERENCE.

  1. MODIFICATION OF THESE TERMS OF USE

Changes are effective immediately upon posting. ASI will indicate the date these Terms were last updated at the top of this page. Your continued use of the ASI Web Site following the posting of revised Terms constitutes your acceptance of the changes.

  1. LINKS TO THIRD-PARTY SITES

The ASI Web Site may contain links to other Web Sites (“Linked Sites”). The Linked Sites are not under the control of ASI and ASI is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. ASI is not responsible for webcasting or any other form of transmission received from any Linked Site. ASI is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by ASI of the site or any association with its operators.

  1. NO UNLAWFUL OR PROHIBITED USE

As a condition of your use of the ASI Web Site, you warrant to ASI that you will not use the ASI Web Site for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the ASI Web Site in any manner which could damage, disable, overburden, or impair the ASI Web Site or interfere with any other party’s use and enjoyment of the ASI Web Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the ASI Web Sites.

You may not use the ASI Web Site, Content, or any related software to: (a) violate any applicable federal, state, local, or international law or regulation; (b) infringe any patent, trademark, trade secret, copyright, or other intellectual property rights of ASI or any third party; (c) attempt to circumvent, reverse engineer, or otherwise interfere with the ASI Web Site or any of its features; (d) use any robot, spider, or automated means to access, scrape, or collect content from the ASI Web Site without express written permission; (e) introduce any virus, Trojan horse, worm, or other malicious code; or (f) engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the ASI Web Site.

  1. USE OF COMMUNICATION SERVICES

The ASI Web Site may include communication features such as contact forms, chat tools (including the Akasi AI-powered chat assistant), or other interactive features (collectively, “Communication Services”). By using any Communication Service, you agree to use it only for lawful purposes and in a manner consistent with these Terms.

By way of example and not as a limitation, you agree that when using a Communication Service, you will not:

  • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights of others.
  • Publish or distribute any inappropriate, defamatory, infringing, obscene, or unlawful content.
  • Upload files that contain viruses, corrupted files, or other software designed to damage computer systems.
  • Use the Communication Services to conduct unauthorized commercial solicitation.
  • Harvest or otherwise collect information about others, including e-mail addresses, without their consent.
  • Violate any applicable laws or regulations.

ASI has no obligation to monitor the Communication Services. However, ASI reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. ASI reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

Exercise caution when providing personally identifiable information through any Communication Service. ASI specifically disclaims liability for content exchanged through Communication Services and for any actions resulting from your participation in them.

  1. AKASI AI CHAT ASSISTANT

The ASI Web Site includes Akasi, an AI-powered chat assistant provided through Intercom, Inc. Your use of Akasi is subject to these Terms. When you submit information or questions through Akasi (“Input”), you may receive responses generated by artificial intelligence (“Output”). You acknowledge and agree that:

  • Output is generated by AI and may not always be accurate, complete, or appropriate for your specific situation. Output is not a substitute for professional judgment.
  • ASI and Intercom may store and process your Input and Output for the purposes of providing support, improving the service, and complying with applicable law. See the ASI Privacy Policy for more information.
  • Output does not constitute professional dental, medical, legal, or financial advice. You should consult a qualified professional for any such guidance.
  • ASI makes no representations or warranties with respect to Output. Your use of Akasi is at your sole risk.
  • Output is not a reflection of ASI’s official positions or product specifications. Always verify technical information with ASI directly.
  1. MATERIALS PROVIDED TO ASI

ASI does not claim ownership of the materials you provide to ASI (including feedback and suggestions) or post, upload, input or submit to any ASI Web Site or its associated services (collectively “Submissions”). However, by posting, uploading, inputting, providing or submitting your Submission you are granting ASI, its affiliated companies and necessary sublicensees permission to use your Submission in connection with the operation of their Internet businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. ASI is under no obligation to post or use any Submission you may provide and may remove any Submission at any time in ASI’s sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

Any feedback, suggestions, or ideas you voluntarily provide to ASI regarding the ASI Web Site or its products and services will be treated as non-confidential and non-proprietary. ASI may use such information without restriction or compensation to you.

  1. INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

All contents of the ASI Web Site are owned by or licensed to ASI and/or its suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws. All rights are reserved.

The names of actual companies and products mentioned herein may be the trademarks of their respective owners. ASI’s product names, logos, and brand elements are trademarks of ASI Medical, Inc. and may not be reproduced, copied, or used without express written permission.

Any rights not expressly granted in these Terms are reserved by ASI.

  1. DISCLAIMER OF WARRANTIES

The information, software, products, and services included in or available through the ASI Web Site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. ASI and/or its suppliers may make improvements and/or changes in the ASI Web Site at any time.

Information available through the ASI Web Site is provided for general informational and educational purposes and should not be relied upon as professional dental, medical, legal, or financial advice. Always consult a qualified professional for advice specific to your situation.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES ON THE ASI WEB SITE ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. ASI AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

NEITHER ASI NOR ANY PERSON ASSOCIATED WITH ASI MAKES ANY WARRANTY WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, ACCURACY, OR AVAILABILITY OF THE ASI WEB SITE OR ITS CONTENT. YOUR USE OF THE ASI WEB SITE IS AT YOUR OWN RISK.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ASI AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH: (A) THE USE OR PERFORMANCE OF THE ASI WEB SITE; (B) THE DELAY OR INABILITY TO USE THE ASI WEB SITE; (C) THE PROVISION OF OR FAILURE TO PROVIDE SERVICES; OR (D) ANY INFORMATION, SOFTWARE, PRODUCTS, OR SERVICES OBTAINED THROUGH THE ASI WEB SITE—WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ASI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

If you are dissatisfied with any portion of the ASI Web Site or these Terms, your sole and exclusive remedy is to discontinue use of the ASI Web Site.

  1. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ASI Medical, Inc., its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the ASI Web Site; or (c) any content or submission you provide through the ASI Web Site.

  1. NOTICE TO DENTAL PRACTITIONERS

THE ASI WEB SITE AND ITS CONTENT, INCLUDING PRODUCT INFORMATION AND ANY OUTPUT FROM AI-POWERED FEATURES, ARE NOT A SUBSTITUTE FOR THE PROFESSIONAL JUDGMENT OF A LICENSED DENTAL PRACTITIONER. ASI DOES NOT PROVIDE MEDICAL OR DENTAL ADVICE, DIAGNOSIS, OR TREATMENT RECOMMENDATIONS. RELIANCE ON CONTENT AVAILABLE THROUGH THE ASI WEB SITE FOR PATIENT CARE DECISIONS IS SOLELY AT YOUR OWN RISK. ALWAYS VERIFY PRODUCT SPECIFICATIONS, COMPATIBILITY, AND SAFETY INFORMATION WITH ASI DIRECTLY BEFORE CLINICAL USE.

  1. TERMINATION AND GOVERNING LAW

ASI reserves the right, in its sole discretion, to terminate your access to the ASI Web Site and related services or any portion thereof at any time, without notice.

To the maximum extent permitted by law, these Terms are governed by the laws of the State of Colorado, U.S.A. You hereby consent to the exclusive jurisdiction and venue of courts in Douglas County, Colorado, U.S.A. in all disputes arising out of or relating to the use of the ASI Web Site.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and ASI with respect to the ASI Web Site and supersedes all prior or contemporaneous communications and proposals, whether electronic, or written, between the user and ASI with respect to the ASI Web Site.

  1. COPYRIGHT INFRINGEMENT NOTICES

Pursuant to 17 U.S.C. § 512(c)(2), notifications of claimed copyright infringement should be sent to ASI’s Designated Agent:
